Dear Residents and Interested Parties of Rivonia Woods
Engagement with RWRA and Proposal on the Way Forward
Over the last few weeks a group of interested Residents and the Directors of the Rivonia Woods
Residents Association (“RWRA”) (K2021085551) have been in discussion to chart a way forward
– aimed at the uplifted of our neighbourhood and the Rivonia Woods Precinct.
The points below are to be noted:
• The current Directors have indicated their intention to resign from their roles as Directors on
the current RWRA
• The intention of the current Directors is to close out the outstanding financial audit and finalize
compliance prior to hosting a formal AGM
• It must be noted that the latest Memorandum of Incorporation (“MOI”) has been misplaced
and as such, the MOI that is filed with CIPC (attached) is the one that remains current
• This MOI deals specifically with an NPC (Non-Profit Company) “WITHOUT MEMBERS and it
is understood that the residents of Rivonia Woods are not members of the NPC and
therefore do not have voting rights
Given the points above (and the urgency with which we believe the Association needs to be
mobilized across the various portfolios) the following has been agreed with the directors of the
RWRA:
• The current RWRA (K2021085551) will be wound down
• Simultaneously a new entity (Non-Profit Company) will be formed with an MOI that is
inclusive of all residents and / or property owners
• A new team of directors will be elected to this entity
• All funds including:
o The donation from Curro
o The remaining Balance of the Contributions by residents for the road closure and other
contributions
Will be paid into the bank account of the new entity
• All future Donations intended for the community and community improvement initiatives
including the outstanding Curro Donations will be ceded to the new entity. Negotiations
with Curro remain ongoing
A Community Meeting will be set for next week to discuss and propose a way forward as well as
to answer any specific questions related to the above.
We encourage all residents and owners of properties within the Rivonia Woods Precinct to
attend and / or participate for the betterment and safety of our neighbourhood.
We would like to thank everyone involved to get us here, and are delighted to have reached this
milestone in our journey.
